Evernorth is officially set to become a publicly traded XRP treasury company after shareholders of the special purpose acquisition company (SPAC) Armada Acquisition Corp. II overwhelmingly approved their proposed business combination. The landmark transaction marks a major milestone for institutional crypto adoption, creating a dedicated corporate vehicle holding hundreds of millions of dollars in digital assets and paving the way for public market exposure to XRP through a traditional stock exchange.
According to the official announcement, the deal is expected to officially close on Oct. 7, with shares of the newly combined company set to begin trading on the Nasdaq global market under the ticker symbol "XRPN" the following day, provided all remaining standard closing conditions are satisfied. This decisive shareholder vote clears a critical operational and regulatory hurdle, following Evernorth’s initial Form S-4 registration statement filing with the United States Securities and Exchange Commission (SEC) back in March. That registration statement was officially declared effective in August, leaving the final shareholder approval as one of the last major procedural milestones required ahead of the anticipated Nasdaq debut.
Upon the closing of the transaction, Evernorth expects to hold approximately 473 million XRP on its balance sheet. Company executives and market analysts note that this substantial reserve will make it the largest publicly traded pure-play XRP treasury company in the world. With XRP trading at roughly $1.50 at the time of publication according to CoinGecko data, Evernorth’s anticipated 473 million-token treasury commands an estimated market valuation of approximately $710 million.
The finalized business combination is projected to inject significant capital into the enterprise, raising about $300 million in gross cash proceeds. This total funding figure comprises $225 million secured from related private placements, $30 million in dedicated convertible note financing, and approximately $48 million derived directly from Armada II’s cash trust account. Furthermore, strategic investors have demonstrated their long-term commitment to the venture by contributing XRP directly to the transaction, aligning their holdings tightly with the firm’s overarching corporate strategy.
Evernorth enters the public markets backed by an impressive roster of prominent crypto-native venture capital funds, market makers, and industry giants. Its investor base includes industry heavyweights such as Ripple, Kraken, Pantera Capital, SBI Group, Arrington Capital, and GSR. Moving forward, the company has outlined plans to systematically grow its XRP holdings on a per-share basis. Management intends to achieve this through proprietary yield-generation strategies, active participation in the broader XRP ecosystem, and ongoing capital markets activities designed to maximize shareholder value.

Crypto treasury SPACs face market headwinds
Evernorth’s successful march toward the public markets stands in stark contrast to the turbulent conditions encountered by several other high-profile crypto enterprises that have pursued SPAC mergers to reach United States public exchanges over the past several months. While some digital asset firms have successfully completed their transitions, others have stumbled amid shifting market sentiment, regulatory scrutiny, and changing investor risk appetites.
On the successful side of the ledger, tokenization firm Securitize officially began trading on the New York Stock Exchange in July following the completion of its strategic merger with Cantor Equity Partners II. Similarly, global crypto financial services provider CoinShares made its prominent Nasdaq debut in April after executing a massive $1.2 billion merger with Vine Hill Capital Investment Corp. These successful listings demonstrated that traditional public equity markets remain receptive to fundamentally robust crypto businesses with clear institutional backing and regulatory compliance frameworks.
However, other dedicated crypto treasury companies have faced severe headwinds and setbacks. In April, Ether Machine was forced to scrap its highly anticipated merger with Dynamix, citing increasingly unfavorable market conditions. That dissolved deal officially ended the company’s ambitious plans to launch a $1.5 billion yield-bearing Ether fund via the public vehicle.
Additional turbulence materialized in July when Adam Back’s Bitcoin Standard Treasury Company and Cantor Equity Partners I mutually agreed to scrap the original terms of their proposed merger. The parties opted to postpone their scheduled shareholder vote indefinitely while they actively renegotiated the structure of the deal in a bid to craft an arrangement that would better reflect prevailing market conditions.
Despite these broader sector-wide challenges, Evernorth has successfully navigated the complex regulatory review process and secured the necessary capital and shareholder backing to bring its pure-play XRP treasury model to a major US exchange. As the clock ticks toward the Oct. 7 closing date and the subsequent Oct. 8 trading launch under the XRPN ticker, market participants will be closely watching to see how public equity investors receive this newly minted institutional vehicle for XRP exposure.
